Terms of Service

These terms govern your use of the Blue Harbor Media website. Paid client work is also subject to separate proposals, statements of work, or signed agreements.

Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the Blue Harbor Media website located at blueharbormedia.com and related pages, content, and materials (collectively, the "Site"). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site.

These Terms apply to website visitors and prospective clients. Paid engagements are also governed by separate proposals, statements of work, master service agreements, or other written contracts where applicable. If there is a conflict between these Terms and a signed client agreement, the signed agreement controls for that engagement.

About Our Services

Blue Harbor Media provides digital strategy, branding, web design and development, SEO and content, automation, growth strategy, and custom software services for businesses. Information on the Site is provided for general marketing and informational purposes and does not constitute a binding offer until confirmed in a written proposal or agreement accepted by both parties.

Acceptable Use of the Site

You agree to use the Site only for lawful purposes and in a manner that does not infringe the rights of others or interfere with the operation of the Site. You may not:

  • Attempt to gain unauthorized access to the Site, servers, or connected systems.
  • Use automated tools to scrape, crawl, or harvest content without our prior written consent.
  • Introduce malware, harmful code, or disruptive traffic.
  • Misrepresent your identity or affiliation when submitting inquiries or communications.
  • Use Site content in a way that violates applicable law or third-party rights.

Intellectual Property

Unless otherwise stated, the Site and its content—including text, graphics, logos, icons, images, layouts, design elements, and code—are owned by Blue Harbor Media or licensed to us and are protected by copyright, trademark, and other intellectual property laws.

You may view and download Site content for personal, non-commercial reference only. You may not copy, reproduce, distribute, modify, create derivative works from, publicly display, or commercially exploit Site content without our prior written permission.

Client Projects & Deliverables

When you hire Blue Harbor Media, project scope, timelines, fees, ownership, revisions, approvals, and deliverable rights are defined in a separate written agreement. Unless expressly stated otherwise in that agreement:

  • Client-provided materials remain the client's responsibility, and the client represents that it has the right to use and provide them.
  • Third-party tools, fonts, stock assets, plugins, hosting, domains, and licensed software may involve separate fees or license terms.
  • Project schedules depend on timely feedback, content delivery, and approvals from the client.
  • We reserve the right to decline projects that are unlawful, unethical, or outside our expertise.

Proposals, Billing & Payment

Fees, deposits, milestones, and payment terms are specified in applicable proposals or contracts. Unless otherwise agreed in writing, invoices are due according to the payment terms stated on the invoice. Late payments may pause work and may be subject to interest or collection costs permitted by law.

Quoted fees typically exclude third-party expenses such as paid media, software subscriptions, stock licensing, hosting, domain registration, and rush fees unless specifically included.

Confidentiality

We treat non-public business information shared during consultations and projects as confidential within reasonable professional bounds. Clients should not share confidential information through insecure channels if a more secure method is available. Formal confidentiality obligations for active engagements are governed by the applicable client agreement.

Disclaimer of Warranties

The Site and its content are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Site will be uninterrupted, error-free, secure, or free of harmful components. Any reliance on Site content is at your own risk.

Limitation of Liability

To the fullest extent permitted by law, Blue Harbor Media and its owners, employees, contractors, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Site, even if we have been advised of the possibility of such damages.

Our total liability for any claim arising out of or relating to the Site will not exceed one hundred U.S. dollars (US $100), except where liability cannot be limited under applicable law.

Indemnification

You agree to defend, indemnify, and hold harmless Blue Harbor Media from and against claims, damages, losses, and expenses arising out of your misuse of the Site, violation of these Terms, or infringement of any third-party rights resulting from materials or information you provide to us.

Governing Law & Disputes

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Site will be brought in the state or federal courts located in New York, and you consent to the personal jurisdiction of those courts.

Changes to These Terms

We may revise these Terms at any time by posting an updated version on this page and changing the "Last updated" date. Your continued use of the Site after changes become effective constitutes acceptance of the revised Terms.
